CONFIDENTIALITY UNDERTAKING
Gorilla Unit Consulting Pty Ltd (“GUC”) recognises the critical importance of confidentiality, discretion, and information security in all consultancy interactions. This Confidentiality Undertaking outlines our principled approach to handling sensitive or proprietary information disclosed by clients, partners, or counterparties, whether during initial discussions or under formal engagement.
1. General Commitment to Confidentiality
GUC treats all non-public, commercially sensitive, or personally identifiable information received in the course of its business activities as strictly confidential. This includes but is not limited to:
– Business plans, trade secrets, and financial data;
– Personal data of individuals as defined by applicable privacy laws;
– Internal or proprietary methodologies, documents, or communications.
2. Disclosure Limitations
GUC shall not disclose, disseminate, or use any confidential information for any purpose other than the limited and agreed objective of the engagement, except where:
– Express prior written consent has been granted by the disclosing party;
– Disclosure is required by law, regulation, court order, or legal authority;
– Disclosure is made to trusted internal personnel or contractors subject to equivalent confidentiality obligations.
3. Legal Framework
GUC adheres to applicable confidentiality and data protection principles under:
– The Privacy Act 1988 (Cth) and Australian Privacy Principles (APPs);
– The General Data Protection Regulation (GDPR) for European Union data subjects;
– Other applicable jurisdictional regulations governing the handling of confidential or personal data.
Where a higher or more stringent standard is required by law, GUC applies that standard.
4. Non-Contractual Nature
This Confidentiality Undertaking does not create any contractual obligation, fiduciary duty, or legal privilege. For enforceable confidentiality obligations, parties must execute a separate Non-Disclosure Agreement (NDA) or confidentiality clause within a formal engagement contract.
This statement reflects our internal governance, reputation-based standards, and professional code of conduct.
5. Retention and Disposal
All confidential documents and communications retained by GUC are stored securely in encrypted environments with limited access. Disposal or deletion of such data is performed in a manner consistent with applicable laws and industry standards.
6. No Waiver of Legal Rights
Nothing in this section shall waive, diminish, or impair any rights held by GUC or the information owner to seek injunctive relief, damages, or other remedies for unauthorised use or disclosure of confidential material.
